GIGACENTRIX Terms & Conditions

These Terms and Conditions (“Terms”) govern access to and use of GIGACENTRIX, including its website, membership features, advertisements, listings, Rider Requests, communication features, and related services (collectively, the “Platform”).
By accessing or using GIGACENTRIX, creating an account, purchasing a membership or advertisement, submitting a listing or Rider Request, or contacting another user through information obtained from GIGACENTRIX, you agree to these Terms.
You must be at least 18 years old to use GIGACENTRIX.
1. What GIGACENTRIX Is
GIGACENTRIX is an advertising and communication platform.
GIGACENTRIX provides online advertising, classified-listing, informational, and communication tools that allow independent individuals to advertise availability, post transportation needs, discover advertisements or requests, and contact one another directly.
GIGACENTRIX provides the technological platform through which these advertisements and requests may be displayed.
GIGACENTRIX does not provide transportation.
GIGACENTRIX does not undertake to transport any person or property and does not control the transportation activities of its users.
2. What GIGACENTRIX Does Not Do
GIGACENTRIX is not a transportation provider, transportation carrier, taxi company, limousine company, chauffeur service, transportation network company (“TNC”), employer of Drivers, dispatcher, transportation broker, fleet operator, or agent for any Driver or Rider.
GIGACENTRIX does not:
Employ Drivers;
Hire Drivers to perform transportation services;
Dispatch Drivers;
Assign Riders to Drivers;
Assign Drivers to Riders;
Require a Driver to accept any Rider or trip;
Require a Rider to use any Driver;
Establish Driver work schedules;
Establish Driver routes;
Control when or where a Driver operates;
Set transportation fares between users;
Collect transportation fares on behalf of Drivers;
Determine how Drivers are compensated;
Process transportation transactions between Drivers and Riders;
Schedule transportation on behalf of users;
Guarantee transportation will occur;
Supervise transportation;
Control the conduct of Drivers or Riders; or
Become a party to an agreement merely because two people discovered each other through GIGACENTRIX.
GIGACENTRIX’s role is limited to providing the Platform through which independent users can advertise, discover information, and establish direct contact.
3. Meaning of “GIGACENTRIX Driver”
The term “GIGACENTRIX Driver” is used solely as a convenient description of an individual who has placed a paid Driver advertisement or listing on GIGACENTRIX.
The term does not mean or imply that GIGACENTRIX:
Employs the person;
Hires the person;
Dispatches the person;
Manages the person;
Supervises the person;
Controls the person’s activities;
Certifies the person;
Has professionally vetted the person;
Endorses the person;
Guarantees the person’s qualifications;
Provides transportation through the person; or
Has knowledge of or involvement in the person’s independent business or activities merely because an advertisement appears on GIGACENTRIX.
A GIGACENTRIX Driver is responsible for determining and complying with all laws, licenses, permits, registrations, insurance requirements, tax obligations, and other requirements applicable to that person’s activities.
4. Meaning of “Rider”
For purposes of these Terms, a “Rider” is a user who uses GIGACENTRIX to view Driver advertisements, communicate with Drivers, post a transportation need or Rider Request, or otherwise seek direct contact with another user.
GIGACENTRIX does not represent a Rider, act as a Rider’s agent, or guarantee the identity, conduct, payment ability, intentions, destination, transportation need, or information provided by any Rider.
5. Driver Advertisements
Driver listings are advertisements placed by independent users.
Payment for a Driver membership or listing purchases advertising access to GIGACENTRIX. It does not purchase employment, transportation assignments, dispatch services, customers, leads, revenue, income, rides, or any guaranteed business opportunity.
Drivers determine independently:
Whether they are available;
When they are available;
Where they are available;
Whom they communicate with;
Whether they enter an agreement with another person;
What transportation they are legally permitted to provide;
What price, if any, they negotiate;
What payment methods they accept; and
Whether they accept or decline any proposed arrangement.
GIGACENTRIX exercises no control over these decisions.
6. Rider Requests
A Rider Request is a user-generated classified request or advertisement.
It is not a transportation order or dispatch request submitted to GIGACENTRIX.
GIGACENTRIX does not assign a Driver to a Rider Request, guarantee that a Driver will respond, guarantee transportation, or participate in negotiations resulting from a Rider Request.
Drivers decide independently whether to contact or respond to a Rider.
Riders decide independently whether to communicate or enter into an arrangement with a Driver.
7. Direct Relationships Between Users
When a Driver and Rider communicate, negotiate, meet, exchange payment, or enter into any transportation or other arrangement, they do so directly and independently of GIGACENTRIX.
Any agreement between a Driver and Rider is exclusively between those parties.
GIGACENTRIX is not a party to that agreement merely because:
The parties discovered each other through GIGACENTRIX;
An advertisement appeared on GIGACENTRIX;
A Rider Request appeared on GIGACENTRIX;
Contact information was obtained through GIGACENTRIX; or
GIGACENTRIX membership was required to access certain Platform features.
Users are solely responsible for determining the terms and legality of their arrangements.
8. Fares, Prices and Payments Between Users
GIGACENTRIX does not establish, quote, negotiate, collect, distribute, guarantee, or enforce transportation fares between Drivers and Riders.
Any amount discussed or paid for transportation is determined independently between the parties.
GIGACENTRIX does not receive a percentage or commission from a transportation fare merely because the parties connected through the Platform.
Users are responsible for their own payment arrangements, receipts, disputes, refunds, chargebacks, taxes, and recordkeeping arising from transactions between them.
9. No Earnings, Customer or Ride Guarantee
GIGACENTRIX makes no representation or guarantee concerning:
Number of Riders;
Number of Drivers;
Number of inquiries;
Number of Rider Requests;
Number of transportation opportunities;
Advertising impressions;
Calls or messages;
Customers;
Revenue;
Earnings;
Profitability; or
Results obtained from membership or advertising.
Statements such as “Keep All the Fare,” “Build Your Own Rideshare Book,” “Build While You Earn,” or similar promotional language describe the Platform’s direct-connect advertising concept.
They are not earnings guarantees or promises that a Driver will receive rides, customers, revenue, or profits.
10. Membership Fees
Membership fees paid to GIGACENTRIX are fees for access to specified Platform features and/or advertising privileges.
They are not commissions on transportation and do not purchase transportation work from GIGACENTRIX.
Unless otherwise expressly stated or required by law, membership and advertising fees are non-refundable after the applicable membership or advertising access has been activated.
11. Early Adopter $100 Annual Rate
Eligible Drivers who enroll under the advertised GIGACENTRIX Early Adopter offer may receive an annual Driver membership rate of $100 per year.
The phrase “Lifetime Rate,” “Rate Locked for Life,” or substantially similar language means that the eligible member may continue renewing the qualifying membership at the $100 annual rate while:
The membership remains continuously active;
Required renewal payments are made when due;
The account remains in good standing;
The membership remains with the original member and is not transferred or resold; and
GIGACENTRIX continues offering the applicable Driver membership program.
The Early Adopter rate does not guarantee that GIGACENTRIX, the Platform, any particular feature, or any membership program will operate indefinitely.
GIGACENTRIX may modify or discontinue Platform features or membership programs, but will not increase the qualifying $100 annual Early Adopter rate merely because the regular price of the same membership increases while the qualifying membership remains eligible under these Terms.
12. Independent Status
Nothing contained in these Terms, a membership, advertisement, listing, Rider Request, communication, or use of the Platform creates an employment, partnership, joint venture, franchise, agency, fiduciary, or similar relationship between GIGACENTRIX and any user.
Users operate independently and for their own purposes.
No user has authority to bind GIGACENTRIX, make representations on behalf of GIGACENTRIX, or incur obligations in the name of GIGACENTRIX.
13. Licensing, Registration and Insurance
Drivers are solely responsible for determining which laws and requirements apply to their activities.
This may include, depending upon the circumstances and jurisdiction:
Driver licensing;
Vehicle registration;
Vehicle inspections;
Commercial or personal automobile insurance;
For-hire transportation requirements;
Local permits;
Business licensing;
Tax registration; and
Other governmental requirements.
The appearance of a Driver advertisement on GIGACENTRIX does not constitute verification that these requirements have been satisfied.
14. User Verification and Due Diligence
Users must conduct their own due diligence before meeting, riding with, transporting, paying, or entering into an arrangement with another person.
Users should independently verify information appropriate to their circumstances, which may include:
Identity;
Current recognizable photograph;
Driver’s license;
Vehicle description;
License plate;
Vehicle registration;
Insurance;
Contact information; and
Any required licenses or permits.
GIGACENTRIX does not guarantee that information supplied by another user is complete, current, accurate, or authentic.
15. Safety
GIGACENTRIX encourages users to exercise reasonable personal safety precautions.
Users should not proceed with an interaction or transportation arrangement if they are uncomfortable with the identity of another person, vehicle, circumstances, proposed arrangement, or information provided.
Users are responsible for deciding whether to meet or transact with another person.
Safety information supplied by GIGACENTRIX is educational only and does not constitute a guarantee of safety.
16. User Accounts
Users must provide truthful and accurate account information.
Users are responsible for:
Protecting account credentials;
Activities conducted through their account;
Maintaining current account information;
Maintaining a current, recognizable profile photograph where required by GIGACENTRIX;
Preventing unauthorized access to their account; and
Promptly reporting suspected unauthorized access.
Accounts may not be transferred, sold, rented, or shared in a manner prohibited by GIGACENTRIX.
17. User Content
Users are responsible for advertisements, Rider Requests, photographs, descriptions, contact information, messages, and other content they submit.
By submitting content, the user represents that the user has the legal right to submit and display that content.
Users retain ownership of their original content but grant GIGACENTRIX a non-exclusive license to host, store, reproduce, format, display, and distribute the content as reasonably necessary to operate and promote the Platform.
This license ends when the content is removed except to the extent retention is reasonably necessary for backups, legal compliance, fraud prevention, dispute resolution, or other legitimate business purposes.
18. Public Information and Privacy
Users understand that information intentionally placed in public advertisements or public-facing listings may be visible to other users and potentially to the public.
Users should not publish unnecessary sensitive information, including precise residential addresses or other information that is not reasonably necessary for an advertisement.
GIGACENTRIX may limit, generalize, obscure, or remove location information or other content when reasonably appropriate for privacy or safety.

19. Cookies and Privacy Choices
GIGACENTRIX may use cookies and similar technologies for operation, security, preferences, analytics, advertising, and other disclosed purposes.
Where applicable, users may make available privacy choices, including cookie or opt-in/opt-out choices, through links or controls provided in the footer or elsewhere on the Platform.
Browser settings may also provide additional cookie controls.

20. Acceptable Use
Users may not use GIGACENTRIX to:
Violate applicable law;
Commit or facilitate fraud;
Harass, threaten, stalk, abuse, or exploit another person;
Impersonate another person;
Provide materially false account or listing information;
Scrape, harvest, systematically extract, or commercially republish Platform data without authorization;
Introduce malicious software or interfere with Platform operation;
Circumvent access controls;
Create accounts through deceptive or automated means;
Use another person’s photographs or identity without authorization;
Publish unlawful, fraudulent, defamatory, or infringing content;
Use GIGACENTRIX to facilitate unlawful transportation or other unlawful activity;
Sell or transfer accounts contrary to these Terms; or
Misrepresent an affiliation with or endorsement by GIGACENTRIX.
GIGACENTRIX may investigate suspected violations and restrict or terminate access when reasonably appropriate.
21. No Endorsement or Certification
Publication of an advertisement, profile, Rider Request, photograph, or other content does not constitute endorsement, certification, approval, recommendation, or guarantee by GIGACENTRIX.
Payment for advertising or membership does not constitute endorsement.
Users remain responsible for evaluating one another.
22. Third-Party Services
GIGACENTRIX may link to or integrate with third-party websites, payment processors, maps, communications systems, analytics services, or other services.
Those services are operated independently and may have their own terms and privacy policies.
GIGACENTRIX is not responsible for the operation, availability, content, security, or independent conduct of third-party services except to the extent required by applicable law.
23. Platform Availability
GIGACENTRIX may modify, update, suspend, restrict, discontinue, or replace any portion of the Platform.
GIGACENTRIX does not guarantee uninterrupted availability, error-free operation, particular functionality, permanent storage of content, or compatibility with every device or service.
24. Intellectual Property
Except for user-generated content and third-party materials, GIGACENTRIX and its associated names, logos, software, design elements, databases, organization, and original Platform content are owned by or licensed to GIGACENTRIX and are protected by applicable intellectual-property laws.
No rights are granted except the limited right to use the Platform in accordance with these Terms.
25. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIGACENTRIX AND THE PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
GIGACENTRIX DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, RELIABILITY, AND SAFETY TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.
GIGACENTRIX DOES NOT WARRANT OR GUARANTEE THE IDENTITY, CONDUCT, QUALIFICATIONS, VEHICLE, INSURANCE, LICENSING, RELIABILITY, PAYMENT ABILITY, SAFETY, OR LEGAL COMPLIANCE OF ANY USER.
Nothing in these Terms excludes a warranty or right that applicable law does not permit to be excluded.
26. Assumption of Risk
Users acknowledge that communicating with, meeting, riding with, transporting, paying, or entering into agreements with people first discovered online involves risks.
Each user independently determines whether to proceed with another user.
To the extent permitted by applicable law, users assume the risks arising from their voluntary interactions and independent agreements with other users.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GIGACENTRIX AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE PLATFORM OR INTERACTIONS BETWEEN USERS.
This includes, where legally permissible, claims arising from:
User conduct;
Transportation arrangements;
Accidents;
Injuries;
Property damage;
Payment disputes;
Missed transportation;
User-generated information;
Reliance upon advertisements;
Communications between users; or
Transactions independently entered into by users.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
28. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless GIGACENTRIX and its owners, members, officers, employees, contractors, and agents from third-party claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys’ fees arising from or related to:
Your violation of these Terms;
Your violation of law;
Your content;
Your transportation activities;
Your agreement or transaction with another user;
Your infringement of another person’s rights; or
Your negligent, reckless, fraudulent, or intentional conduct.
This obligation does not apply to the extent a claim results from conduct for which applicable law prohibits indemnification.
29. Disputes Between Drivers and Riders
A dispute arising from an independent agreement between a Driver and Rider is a dispute between those parties.
GIGACENTRIX does not become responsible for resolving that dispute merely because the parties discovered each other through the Platform.
GIGACENTRIX may, but is not obligated to, review complaints or take action concerning Platform accounts or content.
Any dispute-resolution or arbitration agreement made independently between a Driver and Rider applies according to its own terms and applicable law.
GIGACENTRIX does not create such an agreement on behalf of the parties.
30. Disputes With GIGACENTRIX
A dispute between a user and GIGACENTRIX concerning the Platform, membership, advertising, these Terms, or another matter involving GIGACENTRIX is separate from any dispute between a Driver and Rider.
Before commencing formal legal proceedings against GIGACENTRIX, users are encouraged to contact GIGACENTRIX at support@gigacentrix.com and provide sufficient information to identify and describe the dispute so that the parties have an opportunity to attempt to resolve the matter directly.
Nothing in this section requires GIGACENTRIX to intervene in, mediate, or resolve a dispute between users.
Nothing in this section waives or limits any right or remedy that cannot lawfully be waived or limited.
Disputes involving GIGACENTRIX are subject to the governing-law provisions contained in Section 38 of these Terms.
31. Suspension and Termination
GIGACENTRIX may suspend, restrict, remove, or terminate accounts, listings, Rider Requests, or Platform access when GIGACENTRIX reasonably believes there has been:
A violation of these Terms;
Fraud or deception;
Illegal activity;
Threats to another user;
Abuse of the Platform;
Unauthorized access;
Nonpayment of applicable fees; or
Conduct creating material risk to the Platform or its users.
Termination does not eliminate obligations that by their nature survive termination.
32. Reporting Violations
Users may report suspected fraudulent accounts, false identities, abusive conduct, unauthorized content, or other violations through the contact method published by GIGACENTRIX.
GIGACENTRIX may investigate and take action at its discretion but does not guarantee investigation or resolution of every dispute between users.
For emergencies or immediate threats to personal safety, users should contact the appropriate emergency or law-enforcement authorities rather than relying upon GIGACENTRIX.
33. Electronic Communications
By creating an account or conducting transactions electronically, users consent to receiving notices and communications electronically where permitted by law.
Marketing communications will be handled in accordance with applicable law and available opt-out rights.
34. Changes to These Terms
GIGACENTRIX may amend these Terms as the Platform evolves.
The current version and its effective or updated date will be published on the Platform.
Where applicable law requires additional notice or affirmative consent for a material change, GIGACENTRIX will provide it.
Continued use after an effective modification constitutes acceptance to the extent permitted by applicable law.
35. Severability
If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective to the maximum extent permitted by law.
36. No Waiver
Failure by GIGACENTRIX to enforce a provision of these Terms on one occasion does not waive its right to enforce that provision or another provision later.
37. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly applicable to a purchased membership or Platform feature, constitute the agreement between the user and GIGACENTRIX concerning use of the Platform.
They supersede prior representations concerning the same subject matter except where applicable law provides otherwise.
38. Governing Law
These Terms and disputes arising from or relating to GIGACENTRIX, the Platform, membership, advertising, or these Terms will be governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent applicable federal law or another law that cannot legally be waived or displaced applies.
Nothing in these Terms deprives a user of any protection or right that applicable law does not permit the user to waive.
